1. Introduction

Welcome to Clawzyt.com (“Platform”), a product operated by Rezyt Technologies Inc. (“Company,” “we,” “us,” or “our”).

Clawzyt.com is a structured digital directory that allows AI Agent Owners to list AI agents for discovery by individuals and businesses.

By accessing or using the Platform, you agree to be legally bound by these Terms of Service (“Terms”).

If you do not agree, you must not use the Platform.

2. Platform Nature & Role (Critical Section)

Clawzyt.com operates solely as:

  • A digital listing directory
  • A structured disclosure framework
  • A demand-generation and discovery engine

Clawzyt.com does NOT:

  • Facilitate payments between users
  • Provide escrow services
  • Mediate disputes between users
  • Guarantee agent performance
  • Guarantee intellectual property ownership
  • Verify technical security of listed agents
  • Host third-party AI agents
  • Inspect or audit source code
  • Validate compliance claims unless explicitly marked as verified

All transactions between users and agent owners occur independently and outside the Platform.

3. User Roles

Users of the Platform may be:

  • Agent Owners – Individuals or businesses listing AI agents.
  • Buyers – Individuals or businesses browsing and contacting Agent Owners.
  • Administrators – Platform moderators.

Each user agrees to use the Platform lawfully and responsibly.

4. Eligibility

To use Clawzyt.com, you must:

  • Be at least 18 years old
  • Have legal capacity to enter into binding agreements
  • Not be located in a sanctioned jurisdiction
  • Not be prohibited under applicable law

The Company reserves the right to deny access to any user at its sole discretion.

5. Account Registration

Users may register via:

  • Email and password
  • Google OAuth

Users must:

  • Provide accurate information
  • Verify their email address
  • Maintain account security

You are responsible for all activity under your account.

6. Listing Fees & Payments

Agent Owners must pay a one-time listing fee per listing.

Listing Fee Policy:

  • The fee is non-refundable except in cases of duplicate billing or verified technical error.
  • Payment grants listing exposure and administrative review.

Payment does NOT guarantee:

  • Sales
  • Leads
  • Performance
  • Visibility ranking

The Platform does not take commissions on transactions.

7. Listing Requirements

Agent Owners must provide structured disclosures, including:

  • What is included
  • What is not included
  • Intellectual property terms
  • Hosting responsibility
  • Ongoing costs
  • SLA (if any)
  • Compliance declarations (if any)

Failure to provide complete or truthful information may result in suspension or removal.

8. Self-Declared Compliance Disclaimer

Compliance declarations (e.g., SOC2, GDPR, ISO 27001) are self-reported unless explicitly marked as verified.

Clawzyt.com does not independently verify such claims unless clearly stated. Buyers must conduct independent due diligence.

9. Verified Identity Badge

If offered:

  • Verified Identity badges may be issued based on third-party verification systems.
  • The Platform does not guarantee the ongoing legitimacy of verified users.
  • Verification indicates identity confirmation only, not endorsement or performance certification.

10. Open Intents System

When Buyers submit requirements, anonymized “Open Intents” may be displayed.

No personal or identifiable information is shared without explicit consent. Clawzyt.com is not responsible for proposals or negotiations arising from Open Intents.

11. External Links & Demos

Listings may contain:

  • External demo URLs
  • API endpoints
  • Booking links
  • Videos

Clawzyt.com does not host, operate, inspect, or validate external systems. Users accessing external links do so at their own risk.

The Platform is not responsible for:

  • Security vulnerabilities
  • Data breaches
  • Malware
  • Downtime
  • Misrepresentation

12. Offline Transactions

All transactions occur independently outside the Platform.

Clawzyt.com:

  • Does not participate in negotiations
  • Does not process payments
  • Does not mediate disputes
  • Does not enforce contracts

Any agreement between users is solely between those parties.

13. Limitation of Liability

To the fullest extent permitted by law: Clawzyt.com and Rezyt Technologies Inc. shall not be liable for:

  • Indirect damages
  • Lost profits
  • Lost business opportunities
  • Reputational harm
  • Data loss
  • Transaction failures
  • Fraud between users

Liability Cap: Total liability shall not exceed the amount paid by the user to the Platform in the previous 12 months, not exceeding $25 per listing.

14. Indemnification

Agent Owners agree to indemnify and hold harmless Clawzyt.com and Rezyt Technologies Inc. from claims arising from:

  • Intellectual property disputes
  • Misrepresentation
  • Regulatory violations
  • Fraudulent conduct
  • Security breaches caused by their systems

15. Termination & Suspension Rights

Clawzyt.com reserves the unilateral right, at its sole discretion, to:

  • Suspend or terminate any account
  • Remove or edit any listing
  • Restrict access to features
  • Refuse future service

Grounds for suspension include, but are not limited to:

  • False or misleading disclosures
  • Fraud or scam activity
  • Intellectual property complaints
  • Policy violations
  • Abuse of the Open Intent system
  • Reverse engineering attempts
  • Attempting to bypass platform safeguards
  • Behavior that harms the platform’s reputation

Effect of Termination:

  • Listings may be removed immediately.
  • Listing fees remain non-refundable.
  • Access to the Platform may be revoked.
  • Records may be retained for compliance and legal defense.

16. Content License & Ownership

Agent Owners retain ownership of all content they upload. However, by submitting content, Agent Owners grant Clawzyt.com and Rezyt Technologies Inc.:

A worldwide, non-exclusive, royalty-free, sublicensable license to:

  • Display listings publicly
  • Reproduce and format content for technical display
  • Promote listings through marketing channels
  • Feature content in SEO and search pages
  • Display screenshots or summaries for promotional purposes

The Platform does not claim ownership of underlying intellectual property.

17. Intellectual Property & DMCA Policy

Clawzyt.com respects intellectual property rights. If you believe content infringes your IP, you may submit a formal notice including:

  • Identification of the copyrighted work
  • URL of infringing material
  • Proof of ownership
  • Contact information
  • Good-faith statement

The Platform may:

  • Remove disputed content
  • Suspend listing pending review
  • Terminate repeat infringers

The Platform does not adjudicate IP ownership disputes.

18. Acceptable Use Policy (AUP)

Users may NOT:

  • List illegal, deceptive, or harmful AI agents
  • Promote fraudulent schemes
  • Share malware or malicious links
  • Misrepresent compliance certifications
  • Post false claims about agent capability
  • Scrape listings or reverse engineer demo systems
  • Use automated bots to harvest data
  • Abuse Open Intent visibility
  • Impersonate individuals or businesses

Violation may result in immediate suspension.

19. Analytics & Exit-Intent Tracking

Clawzyt.com may collect limited analytics including:

  • Page views
  • Exit-intent clicks
  • Demo interaction events
  • Open Intent submissions

When a user clicks “Contact Agent Owner,” a Bridge Modal may display. This modal may:

  • Reassert platform disclaimers
  • Record click-through analytics

The Platform does NOT record private communications occurring outside its system.

Analytics are used for: Platform improvement, Fraud detection, Listing performance insights, Potential future premium services.

20. Privacy & Data Collection

Clawzyt.com collects:

  • Account registration data
  • Email addresses
  • Demo test logs (if applicable)
  • Open Intent submissions
  • Basic analytics data

Personal data is processed in accordance with the Privacy Policy. Users may request:

  • Data access
  • Data correction
  • Account deletion

Data may be retained for compliance and fraud prevention purposes.

21. Data Retention Policy

The Platform may retain:

  • Listing history
  • Fraud reports
  • Open Intent submissions
  • Demo interaction logs
  • Suspension records

For up to 7 years, or longer if legally required.

22. No Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.” Clawzyt.com makes no warranties regarding:

  • Accuracy of listings
  • Agent functionality
  • Security of third-party systems
  • Compliance with laws
  • Merchantability
  • Fitness for a particular purpose

All use is at your own risk.

23. Governing Law

These Terms shall be governed by the laws of Delaware, United States, without regard to conflict of law principles.

24. Arbitration Agreement

All disputes shall be resolved through binding arbitration.

  • Single arbitrator
  • Conducted in Delaware, United States
  • Governed by American Arbitration Association (AAA) Commercial Arbitration Rules
  • No class actions permitted.

25. Class Action Waiver

Users agree that disputes shall be conducted individually and not as part of any class or representative action.

26. Force Majeure

Clawzyt.com shall not be liable for failure to perform due to:

  • Natural disasters
  • Government action
  • Internet outages
  • Cyberattacks
  • Hosting failures
  • Third-party service disruptions

27. Platform Modifications

The Company reserves the right to:

  • Modify features
  • Change pricing
  • Introduce premium tiers
  • Alter listing visibility algorithms
  • Update Terms

Continued use constitutes acceptance of updated Terms.

28. Severability

If any provision is deemed invalid, remaining provisions remain enforceable.

29. Entire Agreement

These Terms constitute the entire agreement between users and Rezyt Technologies Inc.
